SocialHomes.AI Demo - Access & Confidentiality Terms

1. Who These Terms Apply To

These terms apply to any individual ("you", "Recipient") who has been granted access to the SocialHomes.AI demo (the "Demo") hosted at demo.socialhomes.ai or any related URL. Access is granted by Yantra Works Ltd, a company incorporated in England and Wales (company number 16952672, registered office 128 City Road, London EC1V 2NX) ("Yantra Works", "we", "us").

By entering your email address to access the Demo, you confirm that you have read, understood, and agree to be bound by these terms on behalf of yourself and the organisation you represent. If you do not agree, please do not access the Demo.

1.1 Recipient Categories

Different categories of Recipient have different permitted activities. The category that applies to you is determined by the organisation you represent at the time of access:

• Prospective Customers - housing associations, local authorities, ALMOs, and other registered providers of social housing evaluating SocialHomes.AI for use within their own organisation.
• Sector Partners - housing technology magazines and trade press, sector analysts, consultancies, advisors, professional services firms, certifying bodies, conference organisers, regulators, and similar organisations who serve the social housing sector but are not themselves competitors.
• Investors and Advisors - prospective investors, EIS/SEIS investors, board advisors, non-executive directors, and their professional advisors, evaluating Yantra Works Ltd as a commercial opportunity.
• Direct Competitors - any organisation that develops, sells, or licenses housing management software, AI-powered housing technology, or substantially similar products. Direct Competitors are not permitted access to the Demo. Discovery of competitor access constitutes a material breach of these terms.

2. Confidentiality Obligation

The Demo contains commercially sensitive and proprietary information relating to SocialHomes.AI, including but not limited to:

• Product features, design, and user interface
• Technical architecture and AI model integrations
• Business model, pricing strategy, and roadmap
• Methodology used to produce the software (Mission Control / agentic AI workforce)
• Any data, content, or materials shown within the Demo

All such information is confidential ("Confidential Information"). You agree to:

1. Keep all Confidential Information strictly confidential;
2. Not reproduce, copy, record, screenshot, or transcribe any part of the Demo other than as expressly permitted in Section 3;
3. Not disclose any Confidential Information to any third party without prior written consent from Yantra Works Ltd, except as expressly permitted under Section 3 for your Recipient Category;
4. Use Confidential Information solely for the purpose set out in Section 3 for your Recipient Category.

3. Permitted Use

3.1 Prospective Customers

Access is granted solely for the purpose of evaluating whether SocialHomes.AI may be suitable for your organisation's housing management needs. You may share your general impressions with colleagues within your own organisation on a need-to-know basis, provided those colleagues are also bound by equivalent confidentiality obligations.

3.3 Investors and Advisors

You may share Confidential Information with your professional advisors (lawyers, accountants, deal advisors) and, where you are an investment fund, with members of your investment committee, on a need-to-know basis and provided those individuals are bound by equivalent confidentiality obligations (whether by professional duty or written agreement).

3.4 Universal Restrictions

Regardless of Recipient Category, you must not use the Demo or any Confidential Information to:

• Develop or improve a competing product or service;
• Assist a competitor of Yantra Works Ltd in any way;
• Solicit Yantra Works Ltd staff, contractors, or AI agent prompts;
• Reverse engineer, decompile, or attempt to extract source code, prompts, or technical implementations;
• Re-host, mirror, embed, or republish any part of the Demo on any platform.

4. Access Logging

To protect our intellectual property and for security purposes, Yantra Works Ltd logs access to the Demo. Log data may include your email address, the time of access, and your approximate IP address. This data is used solely for security and legitimate business purposes in accordance with our Privacy Policy and applicable UK GDPR obligations.

5. Intellectual Property

All content within the Demo, including software, design, text, graphics, AI model prompts, methodology, and data, is the exclusive property of Yantra Works Ltd or its licensors and is protected by UK and international intellectual property laws. These terms do not grant you any licence or right in any intellectual property of Yantra Works Ltd except as expressly set out above.

6. Duration

Your confidentiality obligations under these terms continue for a period of three (3) years from the date you first accessed the Demo, or until the information enters the public domain through no fault of your own, whichever occurs first. The restriction on assisting Direct Competitors and the universal restrictions in Section 3.4 continue indefinitely.

7. No Warranty

The Demo is provided for evaluation purposes only. It may not represent the final product. Yantra Works Ltd makes no warranty, express or implied, as to the accuracy, completeness, or fitness for any particular purpose of the information presented.

8. Governing Law

These terms are governed by and construed in accordance with the laws of England and Wales. Any dispute arising out of or in connection with these terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

9. Changes to These Terms

We may update these terms from time to time. The version in effect at the time of your access governs your access. Material changes will be communicated via email to whitelisted Recipients where reasonably practicable.

10. Entire Agreement

These terms constitute the entire agreement between you and Yantra Works Ltd with respect to your access to the Demo and supersede all prior discussions, representations, or agreements. If you have a separate signed NDA with Yantra Works Ltd, that NDA prevails to the extent of any conflict.
